All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client's needs in respect of provision of the Company's stated services/products, in accordance with and subject to, prevailing laws ofin the United States and Canada. Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to same.

Your Relationship with Us

Through our Service, we provide certain products and services sold and/or offered by us and by third-party medical providers, pharmacies, diagnostics laboratories, and other vendors.

We provide prescription fulfillment services via third-party pharmacies (the “Pharmacies”) and laboratory services via third-party diagnostic laboratories (the “Labs”). We may also provide you with access to a network of independent third-party providers and/or medical groups (the “Providers”). These providers offer certain independent medical and/or nursing services. By accepting these Terms and Conditions, you acknowledge and agree that any services or products received from these individuals and/or groups are also bound by this Agreement and that they are third-party beneficiaries of this Agreement.

No Pharmacy Relationship

By accepting this Agreement, you understand and agree that Channelside Health & Wellness is not acting as a pharmacy, nor do we control or interfere with any such services. You may be entering into a relationship with a pharmacy, pharmacist, and/or pharmacy group or other such relationship with one or more such third-party entities and authorize the aforementioned to access your prescription records through a Controlled Substances Prescription Management Program (CSPMP) or any other such program as is required by law and/or under the discretion of the Pharmacy.

Consent to Pay for Services

Channelside Health & Wellness and/or its subsidiaries are not currently enrolled, accepting, or participating in any state, local, or federal healthcare and/or health insurance programs. You acknowledge that you, Channelside Health & Wellness, the Providers, the Pharmacies, and other affiliated entities may not receive payment from any such programs for any of the services or products provided by Channelside Health & Wellness or any affiliated entities. By engaging with Channelside Health & Wellness and using the Services, you are choosing to obtain service solely on a cash-basis, and you have sole financial responsibility for paying the costs associated with the Services.

When you submit Your Information for Health Care Services, you agree to pay all fees due. By entering your payment information and submitting your request, you authorize us, our affiliates, or our third-party payment processors to charge the amount due. If you receive a medical consultation, medical consult fees are not subject to or eligible for a refund. We cannot accept returns of prescription products for reuse or resale, and all sales are final. If you believe we have made an error, however, in the filling of your prescription, please email us at hello@channelsidehw.com.

You understand and agree that you are responsible for all fees due to receive the Services, including any fees charged by medical providers and affiliated medical professional entities.

You understand that Channelside Health & Wellness' affiliated medical professional entities are not contracted healthcare providers with any health insurance plans (commercial, government, or otherwise; i.e., “out-of-network” providers), and therefore, you understand and agree that you are exclusively and solely responsible for paying all fees due to receive the Healthcare Services provided to you, including any fees charged by the medical providers and affiliated medical professional entities. Amounts collected by Channelside Health & Wellness will include fees charged by medical providers for Healthcare Services. In the event that your credit card expires or Channelside Health & Wellness, our affiliates, or our third-party payment processors are unable to process your payment, you may receive notice for you to provide an alternative payment method. Channelside Health & Wellness and/or the medical provider(s) have no obligation to provide any Healthcare Services unless and until full payment has been received and/or verified.

You also understand and agree that, because Channelside Health & Wellness’ medical providers are not contracted with any health insurance plan to provide the services, including federal or state government health care programs, like Medicaid and Medicare, any prescription medication or laboratory service ordered by a Channelside Health & Wellness medical provider may also not be covered.

Consent to Subscription Billing

All services available for purchase through Channelside Health & Wellness are offered on an automatically renewing subscription basis. Your payment method will be charged automatically at regular intervals (displayed on your subscription contract) until you cancel your subscription plan. You may cancel your future subscription, in accordance with the Cancellation Policy below, by emailing hello@channelsidehw.com requesting a cancellation.

Subscription Tiers & Offerings

When purchasing your subscription, you may be presented with different plans or options (each a “Service Tier”). Different Service Tiers or other offerings, such as add-ons, may be subject to differences in pricing, usage rules, eligibility, restrictions, features, and availability, as indicated at the time of sign-up.

Subscriptions Automatically Renew

Your subscription to the Service includes enrollment into an ongoing/recurring payment plan. Your subscription will automatically renew at the end of the disclosed billing period, unless canceled in accordance with the instructions for cancellation below. You agree that you must cancel your subscription, as set out in the section, "Cancelling Auto-renewal of your Subscription" below, to avoid being charged for your next Billing Period. Payment will be charged to your chosen payment method. If indicated at the time of purchase, charges for the Service or an add-on may be prorated (e.g., for a partial month). You acknowledge that the timing of when you are billed may vary, including if your subscription began on a day not contained in a given month (e.g., if you have a monthly subscription and became a paying subscriber on March 31, your payment method would be billed next on April 30), due to free trials and other promotional offers, or if you make changes to your Service Tier or payment method. You are responsible for all third-party Internet access charges and taxes in connection with your use of the Services. Please check with your Internet provider for information on possible Internet data usage charges.

Price Changes

We reserve the right at any time to change our prices, refund policy, and billing methods, subject to any obligations to provide notice of such changes under applicable law. If you do not wish to accept a price change, you may cancel your subscription. If you do not timely cancel your subscription, your subscription will be renewed at the price in effect at the time of the renewal, without any additional action by you, and you authorize us to charge your payment method for these amounts. We will not be able to notify you of any changes in applicable taxes.

Cancelling Auto-Renewal of Your Subscription

You are free to terminate your subscription at any time within 30 days from the date of subscription to one of our Weight Loss Membership Programs for a full refund, provided no medication has been prescribed. This is to ensure that you are 100% satisfied with our services before any substantial commitments are made. To terminate, please send a written notice to hello@channelsidehw.com.

If any medication has been prescribed and shipped to you, a two-month contract becomes effective from the date of shipment. During this period, the option of immediate termination and a full refund is not applicable.

This two-month contractual period is essential for ensuring the effectiveness of our prescribed treatments and for maintaining the integrity and continuity of our health care services. Please be aware that this contract is binding once the medication is shipped, and the terms will be in effect for a duration of two months.

You can cancel your subscription before the end of the then-current billing period. Cancellation will take effect at the end of the then-current billing period or free trial period, as applicable, unless otherwise disclosed. If you cancel, you will continue to have access to the Service through the end of your then-current billing period. If you modify your subscription to switch from one Service Tier to another Service Tier during your billing period, you may not have continued access to your original Service Tier. You must cancel your subscription prior to 11:59 p.m. Eastern time on the day before your next recurring billing date in order to avoid being charged for the next billing period. We do not provide a refund or credit for partially used billing periods, although we may provide such refunds or credits on a case-by-case basis in our sole and absolute discretion. Consent to Bundling Billing

For simplicity, costs and fees associated with the Service from Channelside Health & Wellness and all third-party affiliates will be bundled into one subscription charge to your payment method. A detailed invoice is available upon request.

Prescription-Only Products

Some of the Products and Services offered via the Platform require a valid prescription. Payment does not guarantee the writing or dispensing of any prescription medications. You will not be offered a prescription unless you have completed a medical intake form, established a patient-provider relationship with a Provider, completed a medical consultation with said Provider, and have an established medical need for said prescription.

Refund Policy

All fees and charges assessed by Channelside Health & Wellness are non-refundable. We cannot accept returns of prescription products for reuse or resale, and all sales are final.

Disclaimer

To the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to our website and the use of this website (including, without limitation, any warranties implied by law in respect of satisfactory quality, fitness for purpose and/or the use of reasonable care and skill). Nothing in this disclaimer will:

• limit or exclude our or your liability for death or personal injury resulting from negligence;
• limit or exclude our or your liability for fraud or fraudulent misrepresentation;
• limit any of our or your liabilities in any way that is not permitted under applicable law; or
• exclude any of our or your liabilities that may not be excluded under applicable law.

The limitations and exclusions of liability set out in this Section and elsewhere in this disclaimer: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under the disclaimer or in relation to the subject matter of this disclaimer, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty.
